By purchasing hardware and software products (“Products”) from Freedompro S.r.l. from the online Store, you agree to make a binding commitment to observe these General Conditions of Sale ("General Conditions") and any additional conditions provided by Freedompro S.r.l., including, but not limited to, our conditions and the user manuals available from freedompro.eu and the conditions of the limited warranty supplied with a Product.

THIS IS A LEGALLY BINDING CONTRACT. BY MAKING AN ORDINE RELATING TO PRODUCTS OF FREEDOMPRO S.R.L., YOU DECLARE THAT YOU ACCEPT AND UNDERTAKE TO OBSERVE THESE GENERAL CONDITIONS. YOU ALSO REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, ABILITY AND CAPACITY TO ACCEPT THESE GENERAL CONDITIONS AND DECLARE THAT YOU ARE OF THE NECESSARY LEGAL AGE IN YOUR JURISDICTION OR IN THE PLACE WHERE YOU RESIDE TO PURCHASE AND USE PRODUCTS AND TO SUBSCRIBE THIS AGREEMENT. IF YOU DO NOT AGREE WITH ANY OF THE PROVISIONS OF THE GENERAL CONDITIONS DESCRIBED HEREIN, YOU MUST NOT PURCHASE THE PRODUCTS.

We reserve the right to change these Terms and Conditions at any time; we therefore invite you to read them carefully every time you make a purchase in the Store. Whenever you ordina Freedompro S.r.l. Products, the General Conditions in force from time to time will be applied to the contractual relationship signed between you and Freedompro S.r.l.

The store is intended for online sales only.

The law recognizes a series of rights to consumers. The exclusions and limitations of liability contained in these Terms and Conditions will not apply to the extent they conflict with applicable law. Some jurisdictions do not allow the exclusion of implied warranties, including exclusions regarding products or services that are defective or not as described, or the exclusion or limitation of incidental or consequential damages or other rights. For a complete description of your legal rights, please refer to the laws in force in your country or jurisdiction. Nothing provided in these General Conditions will cancel these other rights provided by law.

The Store is accessible all over the world and the Products offered have been certified and CE marked. If you decide to access the Store and/or use the Products outside a country of the European Union and/or outside Switzerland (each of which individually designated as a "destination country"), or if you use a Product from the Store in a different destination country, you will do so on your own initiative, assuming full and exclusive responsibility for compliance with the local regulations applicable in your country. You acknowledge and agree that some or all features of the Store and Products may not function or be appropriate for use in a country other than a destination country. To the extent permitted by law, Freedompro S.r.l. assumes no responsibility for any damage or loss caused by your access to or use of the Store or the Products in a country other than a destination country. Freedompro also declines all responsibility for any damage or loss caused by your use of Products not available in a Store in a destination country, if you intend to use the Product in that destination country.

1. Compatibility

You declare that you have verified the compatibility of the Products you are purchasing with your specific needs and that you have carefully read the relevant installation and use manuals which can be consulted on the Help Center website.

You assume the sole responsibility for determining the compatibility of the Products with other equipment present on the site where you will install the Product(s) of Freedompro S.r.l. purchased and acknowledges that any incompatibility does not constitute a valid reason for a complaint under the warranty for its Products, nor does it otherwise give the right to receive a refund

2. Reservations and pre-ordersdini

I Products available for reservation and pre-orderdine are not offered for sale by Freedompro S.r.l. Any reservation or pre-ordine does not give rise to a sales contract. By making a reservation and pre-orderdine in relation to a Product not yet available for sale, you are making an offer to Freedompro S.r.l. for the purchase of the Product pursuant to these General Conditions. Freedompro S.r.l. will therefore be authorized to charge you the cost of the purchase according to the payment method you have chosen from those available. In the event of unavailability of the pre-ordine product more than 30 days after the date indicated at the time of pre-ordine, the amounts paid by you will be credited back to you using the same methods as your payment. In any case, Freedompro S.r.l. reserves, at its sole discretion, the right to accept or reject your purchase offer, which will be subject to these General Conditions. Freedompro S.r.l. reserves the right to cancel or refuse an ordine for any reason at any time prior to its shipment, including after an ordine has been submitted regardless of whether or not the ordine has been confirmed. Freedompro S.r.l. may attempt to contact you in the event of cancellation, in whole or in part, of your ordine and/or if further information is needed to complete and accept your ordine.

2bis. Software Licenses

Where your ordine had as its object software use licenses, free or paid, in addition to these terms and conditions, where applicable, the relationship will be regulated as follows:

Freedompro grants a license to use the Software and related documentation to the Customer, who accepts, under the terms and conditions set out in this Agreement.

The Customer will be able to install the Software in the versions chosen on their device.

The components of the Software are licensed as a single product.

The license of use granted is to be considered non-exclusive, onerous or free for a limited period of time on a trial basis, not sub-licensable, not resalable for any reason, without the prior written consent of Freedompro.

The use of the Software is subject to its activation by the Customer by entering the codes provided by Freedompro.

Freedompro reserves the right to carry out checks on the validity of the user licenses installed at the Customer, also with the aid of electronic programs, with the automatic sending from the latter to Freedompro of the identification data of the licenses present on the Customer's systems and terminals.Z

The Software may therefore ask for validation functions of the same from time to time. Validation allows you to verify that the Software has been activated and is properly licensed. In case of failure to complete the validation, the use of the Software will be prohibited. If, during the validation phase, it is detected that the software installed on the Customer's device is counterfeit, does not have a regular license or is not an original Freedompro product, the Customer will no longer be able to continue to use that Software and Freedompro will suspend the provision of any service to the Customer.

The Customer will only be able to obtain updates for the Software received from Freedompro, directly from Freedompro.

The Software characterized as an update replaces and/or integrates and deactivates the product that constitutes the base, capable of being integrated via update. All contractual provisions relating to the Software apply, insofar as they are compatible, to the updates and to the final product resulting from integration with the updates.

Customer may use the Software only as expressly permitted in this Agreement. In doing so, Customer must comply with any technical limitations in the Software that allow Customer to use it only in certain ways.

Customer cannot:

decode, decompile or disassemble the Software, unless such activities are expressly permitted by law and in any case within the limits of such provisions;
publish the Software to permit its duplication by others;
rent, lease, loan, or provide hosting of commercial services using the Software;
use the Software contrary to the law.

The Customer is required to pay Freedompro the fee for the license to use the Software and related Services, as indicated on the Freedompro.

Except in the case of activation of a temporary and free use license for a trial, Freedompro will provide the license to use the Software and the related services only after receiving payment of the fee.

The Customer undertakes not to resell the Software license for any reason, nor to make or have copies made without the written authorization of Freedompro, recognizing that non-compliant behavior, in addition to constituting a breach, would constitute a violation of Freedompro's rights on the Software and related documentation and, more generally, of the copyright regulations.

In the event of use of the Software in a manner that does not comply with these provisions, the Contract may be terminated by right and the Customer will pay Freedompro the fee for the use of the Software for the number of devices on which it was used, tripled as a penalty and without prejudice to Freedompro's right to obtain compensation for greater damages.

If the Customer has acquired the Software on disk or other medium, he is authorized to make a backup copy of the medium itself. The Customer may use this copy exclusively to reinstall the Software in the event of Software malfunction or failure or replacement of the Computer. The use of the backup copy is subject to its activation according to the methods and validation operations described above.

The proof of the validity of the license will be represented by the Customer's possession of the purchase invoice for the Software license and the activation codes sent by Freedompro via e-mail to the address communicated during registration.

The Customer acknowledges and accepts that the Software, including updates, is provided "as is", that it is suitable to function in light of the technologies and operating systems currently on the market and that Freedompro makes no express or implicit representations and warranties as to whether the Software is suitable to meet the Customer's needs, that it is free from errors or that it has functions not provided for in the technical specifications and related documentation.

Freedompro provides the Customer with Update and Assistance Services. These general conditions apply to these services.

The Customer acknowledges that, except in cases of willful misconduct or gross negligence, Freedompro, under no circumstances, may be held liable for any damage that may arise to the Customer itself or to third parties as a result of the use or non-use of the Software.

3. Payment

By indicating a credit card or other payment method accepted by Freedompro S.r.l., you represent and warrant that you are authorized to use the designated payment method and authorize us (or the third-party payment processing company engaged by us) to charge the total amount of your ordine (including all applicable taxes and other charges) using your payment method. If your designated payment method cannot be verified, is invalid, or is otherwise unacceptable, your ordine may be suspended or canceled. To complete your ordine, you will need to resolve any issues we detect.

4. Availability and prices

The sale of all products offered in the Store will be subject to their availability and Freedompro reserves the right to impose quantitative limits on any ordine, reject an ordine, in whole or in part, and discontinue the offer of certain Products without notice. Prices for Products are subject to change at any time, but will not affect any previously submitted Product orders.

5. Sales Tax (VAT)

A depending on the ordine, Freedompro S.r.l. calculates and charges sales tax (VAT) in accordance with applicable laws.

6. Resale, export ban and transfer of ownership

Purchases made in the Store are intended exclusively for final consumers and/or installers and/or distributors in the country of destination, with an express prohibition on export in violation of current export regulations. Freedompro S.r.l. is expressly exempted from any liability deriving from violation of this prohibition. Ownership of the Products purchased in the Store is transferred to the buyer upon delivery by Freedompro S.r.l. to the carrier.

7. Shipping and delivery

Product prices do not include shipping costs. Our rates and delivery methods are specified from time to time on the Store website. The estimated arrival or delivery dates do not represent guaranteed dates for delivery of your ordine, but only an indicative deadline thereof.

All safety warnings, information, instructions, packaging, packaging materials are available in English.

The Store and the links to these General Conditions are always available in Italian and English. In other destination countries, the Store and mobile applications may not be available in the local language.

The support services available in the Store will be accessible in Italian and English. You are responsible for compliance with all applicable laws and regulations of the country for which the Product is intended. Freedompro S.r.l. declines all responsibility in the event of your violation of such laws or regulations.

8. Installation

There may be specific regulations in the jurisdiction in which you install a particular Product regarding where and how to install a given Product. You must ensure full compliance with all applicable laws in your jurisdiction. Freedompro S.r.l. is not responsible for any injuries or damage caused by incorrect and/or improper installation of a Product. Freedompro S.r.l. may publish on its website a list of recommended installers for each type of Product. These installers are not employees of Freedompro S.r.l. nor its affiliates and Freedompro S.r.l. assumes no responsibility for the conduct or liability of such installers. You have the sole responsibility to choose, with due attention, the installer who best suits your needs.

9. Returns and refunds

Freedompro S.r.l. does not accept any returns that have not been previously authorized in writing through the section of the site dedicated to the Return Policies. Please provide detailed information on where and when the Product was purchased and the reason why you are returning the Product. The customer support service of Freedompro S.r.l. will be able to provide you with an authorization to return goods by sending you the relevant management instructions. We invite you to scrupulously follow the instructions that will be provided to you from the moment of contact. Unless the Product is defective or does not conform to the specifications, Freedompro only accepts returns of goods that are new and packaged in the original packaging. You will be responsible for all costs associated with returning the Product (including the cost of returning the Product to Freedompro S.r.l.). Unless the Product is defective or does not conform to specifications, Freedompro has no obligation to authorize the return which will therefore take place exclusively at the discretion of Freedompro S.r.l.. Furthermore, Freedompro does not accept returns of goods that were not purchased directly from the Freedompro S.r.l. online store. If you purchased the Product in a store other than the Store, we invite you to contact the retailer. The above returns policy is distinct from, does not replace and integrates the rights and remedies available to you under current law.

Warning: for bundle or package purchases, you will need to return all products purchased in the bundle.

10. Complaints and Disputes

In case of complaints and/or disputes of any kind, you undertake to promptly contact the customer support service of Freedompro S.r.l. present on the Freedompro S.r.l. website. If it is not possible to resolve the dispute amicably, without prejudice to the rights provided by each country of destination for certain categories of Buyers, any dispute arising from the sale of Freedompro S.r.l. products, as well as from the execution and/or interpretation of these General Conditions of Sale will be regulated exclusively as provided for in the following article 21. "Applicable law and court competent”.

11. Protection of privacy and intellectual property rights

Freedompro S.r.l. remains the owner of its intellectual property and privacy rights and you also undertake not to violate these rights. In the event of a violation, Freedompro may seek to obtain injunctive relief or other equitable relief to fully protect its rights (including its intellectual property rights) and/or prevent the disclosure of confidential information and/or the incurrence of damages of any nature, din before any court of competent jurisdiction.

12. Trademarks, distinctive signs and labels: prohibition on alteration of existing ones and prohibition on affixing without authorization

It is expressly forbidden to remove and/or alter the labels, distinctive signs and/or trademarks present on Freedompro S.r.l. products. products. It is also prohibited, without written consent of Freedompo S.r.l., to add Freedompro S.r.l. to the products. further labels, distinctive signs and/or trademarks of any kind.

13. Warranties, exclusions and limitations of liability

To the maximum extent permitted by Applicable Law, and without prejudice to your rights under the Law, the Store (and all content available therein) and all Products purchased are provided "as is", without warranties or conditions of any kind, express or implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose. Your use of the Products is at your sole discretion and risk. You will be solely and exclusively responsible for (and Freedompro S.r.l. disclaims all liability in relation to) any loss, liability or damage arising from your use of a Product, including, but not limited to: damage or loss to your home and building automation systems, plumbing systems, electrical systems, home, Product, other peripherals connected to the Product, computers, mobile devices, things, animals and/or people.

Freedompro S.r.l. does not guarantee or promise any specific level of energy savings or other economic benefit as a result of the use of a Product or any feature thereof. Actual energy savings and monetary benefits vary based on factors beyond the control or knowledge of Freedompro S.r.l.

Freedompro S.r.l. does not guarantee or promise any specific level of safety and/or suitability regarding the interaction of Freedompro S.r.l. products. with any anti-intrusion systems, with alarms of any kind and/or with electronic locks and/or with biometric readers. These systems and their accessibility, in fact, vary based on factors outside the control and/or knowledge of Freedompro S.r.l. Nothing provided in these General Conditions and, in particular, in this article may exclude or limit liability which cannot be excluded under the law.

To the maximum extent permitted by Applicable Law, in addition to the warranty disclaimers set forth above, in no event:

a) Freedompro S.r.l. will be liable for any indirect, consequential, exemplary, special or incidental damages, including any damages for loss of data or profits arising out of or relating to the products, even if Freedompro S.r.l. knew or should have known of the possibility of their occurrence.

b) The total cumulative liability of Freedompro S.r.l. arising from or relating to the products whether under contract, tort or otherwise, may exceed the fees actually paid (if any) by you to Freedompro S.r.l. or to an authorized dealer Freedompro S.r.l. for the product in question during the previous six (6) months.

This limitation is cumulative and will not be increased if more than one event or claim exists. Freedompro S.r.l. declines responsibility of any kind towards resellers and installers of Freedompro S.r.l.

14. Data protection

EBy placing an order for Products, you accept and acknowledge that Freedompro S.r.l. can store, share, process and use data collected from your ordine form or from your ordine via telephone/fax/e-mail for the purpose of processing the ordine. Freedompro S.r.l. can also share such data globally among the companies of the group of which Freedompro S.r.l. is part. You acknowledge that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. When you place an ordine in the Store, we collect and store your email address. From that moment on, your e-mail address may be used to send you information about the products and services of Freedompro S.r.l., unless you choose not to receive such e-mail messages using the opt-out link contained in the e-mails.

In this case, your e-mail will continue to be used solely and exclusively for communications regarding the orders made by you.

Freedompro S.r.l. may send notices or communications to you within the terms required by law or for marketing or other purposes via, at the discretion of Freedompro S.r.l., e-mail to the primary e-mail address associated with your Freedompro S.r.l. account, paper copy or by publishing such notice on the Freedompro S.r.l..

Freedompro S.r.l. takes no responsibility for any automatic filters that may be set by you or your network provider in relation to email notifications. Freedompro S.r.l. recommends adding the domain @freedompro.eu to your list of authorized email contacts to ensure you receive email notifications from Freedompro S.r.l.

17. Force majeure

Freedompro S.r.l. will not be held responsible for any failure or delay in the performance of any of its obligations when such failure results from an act or event beyond the reasonable control of Freedompro S.r.l., including, without limitation, causes of force majeure, strikes, lockouts or other industrial actions by third parties, civil insurrections, riots, terrorist attacks, wars, fires, explosions, storms, floods, earthquakes, epidemics or other natural disasters, failures of public or private telecommunications networks or the impossibility of using rail, maritime, air transport, motor vehicles or other means of public or private transport.

18. Conservative clause

If any provision, or part thereof, of these Terms and Conditions shall be deemed to be illegal, invalid, unenforceable or prohibited in any way under any law or regulation, such provision, or part thereof, shall be deemed to be excluded from the contract existing between the parties. The lawfulness, validity or enforceability of the remaining provisions of these General Conditions will not be affected and they will remain in full force and effect.

19. Survival of clauses

The obligations set out in Articles 11 to 21 will survive the expiration or termination of these General Conditions.

20. Tolerance

Any tolerance, omission and/or delay on the part of Freedompro S.r.l. to enforce and comply with any of the provisions of these General Conditions and/or applicable legal provisions does not constitute a waiver of the rights of Freedompro S.r.l. towards you and does not prejudice the right of Freedompro S.r.l. to request compliance with the same in the future.

21. Applicable law and jurisdiction

These General Conditions are governed by Italian law. Qualsiasi contratto per l’acquisto di Prodotti attraverso lo Store e/o qualunque controversia e/o rivendicazione derivante da e/o correlata allo stesso e/o alle presenti condizioni generali saranno disciplinati esclusivamente dalla legge italiana. Competente a decidere sarà, in via esclusiva il Foro di Milano (Italia).

Restano, naturalmente, salvi tutti gli eventuali diritti riservati a determinate tipologie di acquirenti dal diritto del Paese di destinazione.
